These Terms of Service ("Terms") govern your access to and use of the trading automation platform and related services ("Service") provided by FindNex ("we," "us," or "our"). By accessing or using the Service, including any software, interfaces, APIs, or websites, you agree to be bound by these Terms.

If you do not agree with these Terms, please do not use the Service.

1. Service Description

FindNex provides automated software tools enabling users to connect with brokerage accounts via APIs for the purpose of monitoring stock market data and executing automated trades on the Indian stock market. The Service facilitates automation of trading strategies but does not provide investment advice, recommendations, or manage client funds.

2. Eligibility

You represent and warrant that:

  • You are at least 18 years old and capable of entering into a binding contract under Indian law.
  • You have all necessary rights and permissions to connect your brokerage account(s) with our Service.
  • Your use of the Service complies with all applicable laws, rules, and regulations, including but not limited to regulations issued by exchanges, and your brokerage.

3. User Account and Security

  • You must create an account to use the Service and provide accurate, current, and complete information.
  • You are solely responsible for maintaining the confidentiality of login credentials and all activities that occur under your account.
  • You agree to notify us immediately of any unauthorized use or security breaches.
  • We will not be liable for any loss or damage arising from your failure to protect your account credentials.

4. Use of the Service

  • You acknowledge that the Service automates trade execution based on parameters you provide; FindNex does not control or influence individual trading decisions.
  • You confirm that all orders entered via the Service are your orders and you authorize us to send such orders through your linked brokerage account.
  • You agree not to use the Service for unlawful, fraudulent, or malicious purposes.
  • You will not attempt to circumvent or disrupt the security or integrity of the Service.

5. Investment Risk and Disclaimer

  • The stock market is inherently risky, and all investments can result in loss. Use of our Service does not eliminate financial risk.
  • We do NOT provide financial, investment, tax, legal, or trading advice. Any information provided through the Service is for informational or automation purposes only.
  • You bear full responsibility for all trading decisions, transactions, and investment outcomes, including any losses.
  • You understand that past performance of any automated strategy offered via the Service or by third parties does not guarantee future results.

6. Data Accuracy and Market Information

  • Market data and trade execution are provided "as is" from third-party sources and brokerage APIs.
  • We do not warrant the accuracy, completeness, timeliness, or reliability of any market data or trade information.
  • Delays, interruptions, or inaccuracies may occur due to system failures, data provider issues, or network problems.
  • You agree that we shall not be liable for any damages resulting from errors or inaccuracies in data or execution delays.

7. Fees and Payments

  • Use of the Service may be subject to subscription fees or transaction fees as described in the pricing information presented to you.
  • You agree to pay all fees applicable to your use of the Service timely and accurately.
  • All payments are non-refundable unless explicitly stated otherwise.
  • We reserve the right to change our fees with prior notice.

8. Intellectual Property

  • The Service and all associated content, software, logos, trademarks, and proprietary technology are owned exclusively by FindNex or its licensors.
  • You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
  • You agree not to copy, modify, distribute, sell, or create derivative works of the Service without our explicit permission.

9. Confidentiality and Privacy

  • Your personal information and trade data will be handled in accordance with our Privacy Policy.
  • We employ reasonable security measures to protect your data but cannot guarantee absolute security against unauthorized access or cyber-attacks.
  • By using the Service, you consent to our collection and use of your data as described in the Privacy Policy.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINDNEX, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE.

WE DO NOT GUARANTEE CONTINUOUS, UNINTERRUPTED, OR ERROR-FREE SERVICE OPERATION.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR IN CONNECTION WITH THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US FOR THE SERVICE IN THE 12 MONTHS PRIOR TO THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless FindNex and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to:

  • Your violation of these Terms.
  • Your use or misuse of the Service.
  • Your violation of any applicable laws or third-party rights.

12. Termination and Suspension

  • We may suspend or terminate your access to the Service without prior notice for violations of these Terms or conduct harmful to our platform or others.
  • You may terminate your account by contacting us, subject to any outstanding fees or obligations.
  • Upon termination, your right to use the Service immediately ends, but accrued rights and liabilities survive.

13. Governing Law and Dispute Resolution

  • These Terms shall be governed by and construed in accordance with the laws of India.
  • Any disputes arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Bangalore, India.
  • Before initiating legal proceedings, parties agree to attempt to resolve disputes amicably through good faith negotiations.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

15. Changes to Terms

  • We reserve the right to update or modify these Terms at any time.
  • We will notify you of significant changes via email or through a notice on the Service.
  • Continued use of the Service after changes signifies your acceptance of the updated Terms.

16. Miscellaneous

  • Force Majeure: We are not liable for delays or failures due to causes beyond our reasonable control, including natural disasters, strikes, technical failures, or regulatory actions.
  • Severability: If any provision of these Terms is held unenforceable, the remaining provisions shall continue in full force.
  • Entire Agreement: These Terms, together with the Privacy Policy and any other legal documents, constitute the entire agreement between you and us regarding the Service.
